Terms of Service

1. Parties

These Terms of Service ("Terms") are a binding agreement between you and Virtual Minds Ltd, a company incorporated in the Abu Dhabi Global Market (ADGM), United Arab Emirates, with registered office at [REGISTERED OFFICE ADDRESS] and registered number [ADGM REGISTRATION NUMBER]("Virtual Minds", "we", "us", "our").

2. Acceptance and changes

By creating an account or using our services (the "Services"), you agree to these Terms. If you do not agree, you may not use the Services. We may update these Terms; the updated version takes effect when posted unless we are required to give advance notice. Material changes will be notified by email or in-product notice where reasonably practicable. Continued use after the effective date constitutes acceptance.

3. Eligibility

You must be at least 16 years of age (or the higher age required by your local law) and have the capacity to enter into a binding contract. If you use the Services on behalf of an organisation, you confirm that you are authorised to bind that organisation, and references to "you" include that organisation.

4. Services

Virtual Minds offers:

  • Consumer applications: Room AI, Garden AI, Car AI, Reshot AI, AI Chart Analyzer, AI Chat Analyzer, AI Video Generator
  • Enterprise products: LeadsMind, InsureMind
  • The Cortex platform and associated APIs, documentation and support, where made available

We may add, modify, suspend or discontinue features. Beta, preview or evaluation features are provided "as is" with no commitment as to availability.

5. Your account

You are responsible for the confidentiality of your credentials and for activity on your account. Notify us promptly at security@virtualminds.tech if you suspect unauthorised access.

6. Acceptable use

You agree not to:

  • Use the Services in breach of UAE federal law, ADGM regulations, or other laws applicable to you
  • Generate, upload or distribute content that is unlawful, defamatory, deceptive, infringing, or that violates UAE laws on prohibited content, cybercrime or moral conduct
  • Use the Services to harm minors, harass, threaten or impersonate others
  • Attempt to gain unauthorised access to the Services or other accounts
  • Probe, scan or test the vulnerability of any part of the Services without our prior written consent
  • Reverse engineer, decompile or attempt to extract model weights from the Services
  • Use the Services to develop a competing product or to train a foundation model
  • Resell or sublicense the Services without our written authorisation

7. User Content and licence

You retain all rights you have in content you submit ("User Content"). You grant Virtual Minds a worldwide, non-exclusive, royalty-free licence to host, process, transmit and display User Content solely to operate, secure and improve the Services and to provide them to you. We do not use identifiable User Content to train foundation models without your consent. You are responsible for having the rights necessary to submit User Content.

8. AI-generated outputs

Outputs generated by our applications ("Outputs") are provided "as is." Outputs may be inaccurate, incomplete or unsuitable for your intended use. You are responsible for reviewing Outputs before relying on or publishing them. Outputs may not be unique — similar inputs can produce similar outputs for other users. To the extent we have ownership rights in an Output, we assign those rights to you, subject to your compliance with these Terms.

9. Intellectual property

The Services, including all software, models, designs and documentation, are owned by Virtual Minds or its licensors and protected by intellectual property laws. Except for the rights expressly granted here, no rights are transferred to you. Any feedback you provide may be used by us without restriction.

10. Fees, billing and taxes

Paid Services are billed in advance on the cycle disclosed at purchase. Fees are non-refundable except where required by applicable law. We may change pricing on at least 30 days' notice for renewals. Fees are exclusive of taxes; you are responsible for any VAT or other taxes payable in your jurisdiction, except taxes on our net income. UAE Value Added Tax may be added where applicable.

11. Suspension and termination

We may suspend or terminate your access to the Services if you breach these Terms, if continued provision creates a legal or security risk, or for non-payment. You may close your account at any time. On termination, your right to use the Services ends; we will make User Content available for export for a reasonable period unless prohibited by law.

12. Disclaimers

To the maximum extent permitted by applicable law, the Services are provided "as is" and "as available." We disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted or error-free, or that Outputs will be accurate.

13. Limitation of liability

To the maximum extent permitted by applicable law, neither party is liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, data, goodwill or business opportunity, even if advised of the possibility. Our aggregate liability arising out of or relating to the Services or these Terms will not exceed the greater of (a) the fees you paid to us in the twelve months preceding the event giving rise to the claim, or (b) US$100.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence.

14. Indemnity

You will indemnify and hold harmless Virtual Minds and its directors, officers, employees and agents from any third-party claim arising from (a) your use of the Services in breach of these Terms, (b) User Content, or (c) your violation of law or of any third party's rights.

15. Force majeure

Neither party is liable for failure or delay caused by events beyond its reasonable control, including acts of God, war, civil unrest, government action, power or internet outages, or failures of third-party infrastructure.

16. Notices and assignment

Notices to us must be sent to legal@virtualminds.tech and to our registered office. You may not assign these Terms without our written consent. We may assign these Terms in connection with a corporate transaction.

17. Severability and entire agreement

If any provision is held unenforceable, the remaining provisions remain in effect and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. These Terms, together with any product-specific terms and our Privacy Policy, constitute the entire agreement between you and Virtual Minds regarding the Services.

18. Governing law

These Terms and any non-contractual obligations arising out of or in connection with them are governed by the laws applicable in the Abu Dhabi Global Market.

19. Jurisdiction

The courts of the Abu Dhabi Global Market (the "ADGM Courts") have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, including non-contractual disputes or claims. This does not affect any mandatory consumer rights you may have under the laws of your place of residence.
